Terms of service

About these terms

These terms apply to work SR Web Studio (“we”, “us”) does directly for a client (“you”). We are based in Gazipur, Bangladesh.

They do not apply to orders placed through Fiverr, Upwork or Contra. Those orders follow the terms of that platform.

For each direct project we agree the details in writing, for example in a proposal, a statement of work, or a monthly agreement. If that agreement says something different from these terms, the agreement wins.

Questions: support@srwebstudio.com.

Quotes and scope

  • We do not show prices on this website. Each project is quoted in writing after we understand what you need.
  • The quote says what we will do, what we will not do, and what we need from you. That is the scope.
  • Work is agreed either per project or as a monthly arrangement.
  • A quote stays open for the period written on it. After that, we may update it.

Changes to scope

Plans change. If you ask for something outside the agreed scope, we will tell you how it affects the cost and timing before we start. We begin the extra work only after you agree in writing. Email is enough.

Payment

Payment terms are set in your agreement. Usually this means one of two things:

  • Project work: payments in milestones, as written in the agreement.
  • Monthly work: payment monthly, in advance.

We may pause work if an invoice is overdue. Third-party costs, such as domains, hosting, paid plugins or licences, are separate unless the agreement says otherwise. Bank fees and taxes on your side are yours to pay.

What we need from you

Good results depend on a few things from you:

  • Give feedback and approvals in good time.
  • Give us the access we need (see Client data).
  • Give us accurate content, and make sure you have the right to use everything you send us, including text, images, logos, fonts and data.
  • Name one person who can make decisions for your side.

If we wait on you for a long time, dates may move. We will tell you when that happens.

Ownership

  • Your work. When you have paid in full for a deliverable, you own it. This covers the code, designs and content we made for you in this project.
  • Our know-how. We keep the right to reuse general skills, knowledge and techniques we gain. We also keep our own pre-existing tools, libraries and code, and anything we build separately from your project. Where your deliverable includes them, you get a licence to use them as part of the deliverable, for as long as you need.
  • Open source. Open-source and third-party components keep their own licences. We will tell you what is included if you ask.
  • Portfolio. We show your project in our portfolio only with your permission. We do not name clients by default.

Confidentiality

We keep your non-public business information private. We will sign an NDA on request. Information that is already public, or that we get from someone else with the right to share it, is not covered. See Client data for how we protect access and credentials.

Warranty

Unless your agreement says otherwise, we will fix bugs that are our fault and are reported to us within 30 days of delivery. We do this at no extra charge.

This does not cover:

  • problems caused by changes made by someone else after delivery
  • new features or changes of scope
  • third-party services, plugins, hosting, APIs or platforms, which we do not control, including changes or outages on their side
  • content you provided

Outside of this warranty, we provide our work as delivered. We do not promise that it will be free of every defect or that it will fit a purpose we were not told about.

Limit of liability

We work with care, but we cannot promise that nothing will ever go wrong. To the extent the law allows:

  • Our total liability to you for any claim about a project is limited to the fees you paid us for the work in question.
  • We are not liable for indirect or consequential loss, such as lost profit, lost sales, or lost data, unless the law says we cannot exclude it.

Nothing here limits liability that cannot be limited by law.

Ending the work

Either side can end the agreement with written notice. Email is enough. If this happens:

  • You pay for work done up to the end date, and for costs we have already committed on your behalf.
  • We hand over finished work and work in progress, once the amounts due are paid.
  • Sections about ownership, confidentiality, liability and governing law stay in force after the end.

Independent contractor

We are an independent contractor. We are not your employee, partner or agent. We choose how and when to do the work, within the agreed scope and timeline. We may use our own team members to do it. We stay responsible for their work under these terms.

Use of AI tools

We may use AI tools under human review. See AI use. You can ask us not to use AI on your project.

Governing law

Unless your agreement says otherwise, the laws of Bangladesh apply to these terms and to work under them. We will first try to settle any dispute by talking. If that does not work, the courts of Bangladesh can decide it.

Changes to these terms

We may update these terms. The date at the top shows the latest change. A change does not affect a project you already agreed with us, unless you agree to it.
